I am thrilled to be able to announce that a recent survey of SirsiDynix customers unanimously approved the adoption of COSA, Inc. (SirsiDynix User Group of Australasia) as the national user group for the region. There are still a few legalities to work through but providing there are no major hiccups with that process then the 2010 conference will be the inaugural COSA conference.

I know that this has been an extremely long, and at times painful, gestation but I am sure you will celebrate this very positive outcome with me.

I would like to thank all those individuals who have helped in this process and who have helped me personally with their support, encouragement and advice.

I would also like to announce that planning for the 2010 User Conference APAC Region is well underway. In the previous post it was announced that the conference will be held at the Surfers Paradise Marriott Resort and Spa from 25th to 27th October 2010. The 25th will be a day of training opportunities or Library tours and the remaining days will be a mix of customer and company presentations. More information on the conference program will be forthcoming.

Whilst on the subject of the 2010 conference the organising committee has put the call out for speakers. If you would like to take advantage of a 20% speaker discount and present on a topic; or you would like to nominate a colleague; or you just have a suggestion for an interesting presentation or panel discussion then please contact one of the conference organising committee members. The conference committee is also gathering ideas for the training day as we would like to make this as relevant and as interesting as possible. As has occurred in the past there will be Horizon training and Symphony training. Some suggestions already received are:
•    Generic System Admin training for Horizon customers who may be moving, or contemplating moving, to Symphony. Covering things like tips on cleaning up files and other requirements prior to a Symphony migration.
•    Web Reporter and/or Director’s Station for Symphony

But what we really want is your ideas. This is your conference and your training day, so please contact one of committee with your suggestions.

Finally I would like to congratulate Elena Barger, from William Angliss Institute, who designed the winning logo and thank you to all who voted in that competition. Elena wins for herself a Border’s voucher, and before anyone accuses me of nepotism I actually voted for one of the other logos!!! The winning logo can be viewed here

As specified in Clause 10 of the proposed COSA Constitution forty days notice of intention to change the Constituion has been given. It is now time to vote to either accept or reject the Constitution as proposed.

If the majority of responses received accept the Constitution, we will proceed with registering COSA, Inc. with the South Australian Office of Consumer and Business Affairs. If the majority of responses received reject the Constitution, CODA and SUGAR will retain their independence from each other.

Late last year we ran a competition to design a logo for COSA and five entries were received. So in addition to voting on the Constitution we would like you to choose the winner.

The draft COSA Constitution has been available for comment on the COSA Blog since 19^th November 2009.

Members’ feedback has now been incorporated into it to form the final proposed Constitution and Rules of Customers of SirsiDynix Australasia – COSA Inc.

With respect to Clause 10 of the constitution, forty days notice is hereby given to all customers of SirsiDynix Pty. Ltd. to consider the amendments as proposed.

A vote to accept or reject the COSA constitution will be conducted via Survey Monkey on 15^th March 2010. Results will be published as soon as possible after voting closes at 5pm on Friday 19^th March 2010.

If you are the authorised representative of your Institution and you won’t be available during this period, please arrange for a Proxy to vote on your behalf.

AGENDA

1. Opening and Welcome

Marg proceeded with introductions and outlined the course of business for the User Group Meeting.
Introduced Carla Clark (COSUGI) to user group and invited her to join the committee on stage to give a short presentation.
Carla discussed the merger of the Unicorn and Dynix user groups and the formation of COSUGI.

Ordinary Business

Marg discussed the difficulties incurred in merging CODA and SUGAR to form COSI due to the fact CODA is an Incorporated Association under the SA Associations Incorporated Act 1985. Rather than dissolving CODA it has been decided to undertake a change of name to CODA, reducing some of the legalities involved with dissolution of an Inc Association.

2.   Accounts and Report

2a     Presidents Report
Marg has expressed her privilege to be the President of the User Group for the past 12 months, with her main focus being on the impending merger and being involved in the organising of the SirsiDynix APAC Conference

2b   Secretary’s Report
Marg has a written report from Anna Gully as she was not able to attend the conference this year
Main points were on the user group status and what transpired at the 2008 conference; formation of a working group committee for the merger; and the survey which was sent out to the CODA list for a vote on the new committee name, with COSA being the preferred option.

2c   Treasurers Report
With attendance at User Group meeting consisting of both SUGAR and CODA members the full Treasurers Report was not able to be given out. It will be sent to all CODA members (current as at 2008 due to non fee paying members for 2009) via email.
General expenditure was announced to all.

Special Business

3   Acceptance of Change of Name
Marg asked for a show of hands for all to express that they agreed on the new name of COSA. Majority raised hands with quorum met.

4   New Constitution
Vote to be held in 40 days from presentation of new COSA constitution at the 2009 APAC Conference User Group Meeting. Marg asked if people could review and start discussion.
After survey vote the constitution will be handed to David Slater along with the name change application to lodge with the Office of Business and Consumer Affairs (SA) to change our name from CODA to COSA.

General discussion occurred with suggestions on some changes that should be undertaken.

Marg asked that anyone with suggestions to make these via the forum where the constitution will be posted for all to view and review.

5   Appointment of Executive Office Bearers and Members
Marg explained that this could not occur until COSA had been legally formed. Marg put to the user group if all were happy to continue with current CODA committee until COSA was legally formed.

6   General Business

Membership
Current membership for CODA is:
1-19 user licence - $66p/a (NZ rate is minus GST)
20-99 user licence - $107.25p/a (NZ rate is minus GST)
100+ user licence - $165p/a (NZ rate is minus GST)

Colin Sutherland asked Carla Clark what COSUGI charge users and what their fees include.
Question was asked from the floor about what a user licence is. It is the number of licences the library has with SirsiDynix.

It was suggested the issue of the membership structure be included on the blog for further discussion.

Elisabeth McDonald suggested perhaps having a structure of Small/Medium/Large based on number of bib records.

COSA Representative for 2010 COSUGI Conference
Suggested members put in an expression of interest which the COSA committee could review and award to successful candidate as ALIA does for their conference sponsorships.

Note: At the closing ceremony the discussion was revisited and Di Worth nominated Renata Dyer to be the representative for COSA at the 2010 COSUGI User Conference.

Constitution and Rules of Customers of SirsiDynix Australasia - COSA Inc.

1. NAME

The name of the Association is Customers of SirsiDynix Australasia - COSA Inc., hereafter referred to as the Association.

2. STATEMENT OF PURPOSE AND OBJECTIVES

2.1 To provide a forum for the mutual exchange of ideas, interests and experience for users of software supplied by SirsiDynix Pty Ltd (or any name by which the company shall subsequently be known) in the APAC region.

2.2    To facilitate discussion on improvements and enhancements to the SirsiDynix software and partnered products, and bring such requirements to the attention of SirsiDynix Pty Ltd.

2.3    To act as a lobby group with SirsiDynix Pty Ltd to achieve the best outcomes from the company for members of the Association.

2.4    To serve as a designated "User" according to the terms of the Escrow Agreement for Software Program Source Code and Other Material through which a customer of SirsiDynix Pty Ltd shall have access to SirsiDynix source code and documentation.

3. POWERS OF THE ASSOCIATION

3.1 The Association shall have all the powers conferred by section 25 of the Act.
In addition, the powers of the Association shall be:

3.1.1       to take all such actions as are calculated to advance the objectives of the Association;
3.1.2       to enter into arrangements with any other body or authority for the services of such a body or authority to be made available to the Association on such terms as the Association decides;
3.1.3       to organise and/or conduct demonstrations and seminars and employ such means as may be necessary or desirable to advance directly or indirectly the information or communication needs of the Association;
3.1.4        to take all other actions as are necessary to the proper management and control of the Association or the effective exercise of the powers conferred on the Association;
3.1.5        to decide on the level of membership fees at each annual general meeting;
3.1.6        to make such rules and regulations for the conduct of the Association as those members with voting rights shall determine;
3.1.7        to establish ad hoc specialist groups as needs dictate, and set up a Conference Planning Committee for each conference, the members being drawn from the host State, Territory or Country.

3.2 The powers of the Association may be delegated, wholly or in part, to the Executive and this delegation may be revoked by the Association.

4. MEMBERSHIP

4.1 Eligibility for membership

Membership of the Association shall be open to any institution in the APAC region that has installed, or is contracted to install, software supplied by SirsiDynix Pty Ltd. Membership is vested in the institution.

4.2 Financial Member

A financial member is any institution that is eligible for membership and has paid such membership fees as determined by the Association.

5. ACTIVITIES

5.1 Annual General Meeting

The Association shall hold an annual general meeting.

5.2 Meetings

The Association shall hold an annual conference, arranged in collaboration with SirsiDynix Pty Ltd, and other meetings and activities as deemed appropriate and in keeping with the Constitution. Attendance at the Conference and meetings is open to all.

5.3 Conference

This shall be held in conjunction with the Annual General Meeting and may be in any country in the APAC region served by SirsiDynix Pty Ltd.

5.4 Representation

Each member is entitled to representation at all full meetings and other activities of the Association.

5.5 SirsiDynix Pty Ltd Participation

SirsiDynix Pty Ltd may participate in the Conference, including organisation of the Conference, and other meetings of the Association by invitation.

6. VOTING

6.1 Rights

Each member is entitled to one (1) vote.

6.2 At formal meetings

Authorised persons wishing to vote by proxy shall authorise, in writing, another person to vote on his/her behalf. All proxy votes shall be in the hands of the Secretary prior to the commencement of the meeting.

6.3 Postal ballots

In the event of a postal ballot, the institution's authorised person only, is eligible to vote on behalf of the institution.

6.4 Electronic ballots

In the event of an online ballot, the institution's authorised person only, is eligible to vote on behalf of the institution.

7. ADMINISTRATION

7.1    Financial Year

7.1.1    The financial year of the Association shall be from July 1st to June 30th and the subscription notice should be issued as soon as possible after the beginning of each financial year.
7.1.2    Subscriptions shall be payable within 60 days of the issue of the subscription notice.

7.2 Executive

There shall be an Executive comprising Office Bearers and Members elected by those members entitled to vote. The terms of all office bearers of the Association shall be two (2) years. Members of the Executive must be associated with institutions that are members of the Association.

7.3    Executive Membership

The Association shall be managed by an Executive consisting of:
i)    President
ii)   Secretary
iii) Treasurer
iv) Immediate Past-President
v)   Publicity Officer
vi) Up to an additional three (3) members

The Membership shall strive to ensure that Executive positions are drawn from as many categories of library as possible (e.g. academic/educational, special, consortia, national, state or local government).

The Membership shall strive to ensure that the Executive includes representatives from sites running each SirsiDynix library management system for which there are still users in Australasia.

7.4 Duties of the Executive

The Executive shall control and manage the affairs of the Association in accordance with the Constitution.

It shall ensure that the Association has at all times a Public Officer who is a resident of the State of South Australia, in accordance with the Associations Incorporation Act, 1985 of South Australia. The Association shall furnish the Office of Consumer and Business Affairs with details of any change in its Public Officer. The Public Officer need not be a member of the Executive or the Association.

7.4.1    Duties of the President
In accordance with the Constitution, the President shall:
i)    preside at all meetings of the Executive and full meetings of the Association. In the absence of the President at such meetings, the Secretary or other Office Bearer shall be elected to chair the meeting and shall have full powers of the President for that meeting;
ii)   attend meetings of the Executive and carry out resolutions passed at such meetings.
7.4.2    Duties of the Secretary
In accordance with the Constitution, the Secretary shall:
i)    discharge all duties that may be assigned to him/her by the Executive;
ii)   attend meetings of the Executive and full meetings of the Association and carry out resolutions passed at such meetings;
iii)   keep proper minutes of, and record attendances at, all such meetings;
iv)   conduct correspondence on behalf of the Executive and of the Association.
7.4.3    Duties of the Treasurer
In accordance with the Constitution, the Treasurer shall:
i)    discharge all duties that may be assigned to him/her by the Executive;
ii)   keep accurate records of the financial affairs of the Association with full details of all receipts and expenditure available for inspection by the members;
iii) collect and receive all monies due to the association and make all payments authorised by the Executive of the Association;
iv) pay all monies received by the Association into an account approved by the Executive;
v)   at the annual general meeting, present an annual statement of receipts and expenditures and a balance sheet;
vi) keep and maintain a register of current members.
7.4.4    Duties of the Immediate Past-President
In accordance with the Constitution, the Immediate Past-President shall:
i)    attend meetings of the Executive and full meetings of the Association;
ii)    provide guidance, support and assistance to the incoming President;
iii)   discharge all duties that may be assigned to him/her by the Executive.
7.4.5    Duties of the Publicity Officer
In accordance with the Constitution, the Publicity Officer shall:
i)    ensure that the Association has a web presence that is current and accessible to all financial members;
ii)   carry out other marketing or promotional duties as determined by the Association or Executive.

8. ELECTIONS

8.1 Election of Office Bearers

8.1.1    Candidates wishing to nominate for election as Office Bearers of the Association must be persons associated with financial members of the Association. Nominations for Executive membership:-
a)        shall be made in writing, signed by a person associated with a financial member of the Association and accompanied by the written consent of the candidate on the nomination form; and
b)        shall be delivered to the Secretary of the Association not less than 7 days before the date fixed for the holding of the annual general meeting.
8.1.2    If insufficient nominations are received to fill all vacancies on the Executive, the candidates nominated shall be deemed to be elected and further nominations shall be accepted at the annual general meeting.
8.1.3    If the number of nominations received is equal to the number of vacancies to be filled, no ballot shall be required.
8.1.4    If the number of nominations exceeds the number of vacancies to be filled, a ballot shall be held.
8.1.5    The ballot for the election of officers and ordinary members of the Executive shall be conducted at the annual general meeting in such usual and proper manner as directed by the Executive.

8.2 Elections for Members of the Executive

Elections shall be conducted in the manner prescribed in the Rules of the Association. Members of the Executive shall be eligible for re-election or re-appointment, but no member of the Executive may hold the same office for more than two (2) consecutive terms.

8.3 Casual Vacancies

8.3.1    Every vacancy in an appointed or elected office of the Executive arising otherwise than by expiration of the term for which that appointment or election was made shall be deemed a casual vacancy.
8.3.2    An election to fill a vacancy caused by the retirement or resignation of an elected member of the Executive shall be conducted to ensure that the vacancy is filled within two (2) months of its occurrence where possible.
8.3.3    A casual vacancy shall be filled in such a way that 7.3 may not be infringed.
8.3.4    Any casual vacancy in an elected or appointed office need not be filled by election or appointment (as the case may be) except that, if the casual vacancy occurs in an elected office within two (2) months of the expiration of the term of that office, the vacancy shall not be filled for the remainder of the term.
8.3.5    A representative elected or appointed to fill a casual vacancy shall be entitled to hold office during the remainder of the term of the representative whose place he/she fills.
8.3.6    A part term served by a representative elected or appointed to fill a casual vacancy shall not be considered a term of office.

9. PROCEEDINGS OF THE ASSOCIATION

9.1 Quorum

A meeting of the Association shall be considered an official meeting only if a quorum of members is present.
A quorum for any general meeting of the Association shall exist if the number of Institutions' authorised representatives present at the meeting is equal to or exceeds 25% of all current financial members eligible to vote. No quorum is necessary when the purpose of the meeting is to fill a casual vacancy or vacancies.
The Secretary, or someone appointed by the Secretary, is responsible for verifying that a quorum is present.

9.2 Decisions of the Association

Decisions shall be taken at a duly constituted meeting of the Association by a simple majority of votes cast by those persons eligible to vote and present at that meeting.

9.3 Financial Authorisation

The Treasurer and President shall be authorised signatories of financial accounts held by the Association. All transactions shall require both signatures.

10. ALTERATION OF THE CONSTITUTION AND RULES

Any amendment to the Constitution and Rules requires a vote for the amendment by official representatives of two-thirds of the financial members at the time of the vote. Voting on alterations to the Constitution and Rules can be undertaken by representatives present at a duly constituted meeting, or by email or survey sent to financial members of the Association provided that the votes received represent a two-thirds majority.

Notice of the intention to move an amendment to the Constitution and Rules and the nature of the content of the motion should be circulated to members forty (40) days prior to the ballot, excepting that amendments arising out of the debate at a meeting may be allowed by decision of the Association.

11. DISSOLUTION

A decision to dissolve the Association shall be taken by ballot. Information regarding the proposal to dissolve should be circulated forty (40) days prior to the ballot. A vote in favour of dissolution is required by two-thirds of financial members who are entitled to vote.
